Terms of Use

MatchRail runs three-way match against the accounting ledger you connect. It reads your purchase orders and bills, compares them against the receipts you record, clears the ones that agree inside the tolerance held in the Service, and queues the ones that do not. You review and approve every correction — MatchRail does not write to your ledger without your approval, and an approved correction is deferred behind a kill window before it posts.

You are responsible for the activity under your account and for keeping your credentials secure. You must provide accurate information and promptly update it as needed. You must be authorized to connect any accounting or payment account you link to the Service.

You agree not to:

• Use the Service to alter records you are not authorized to alter.
• Connect an accounting or payment account you do not have authority over.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
• Use the Service in violation of any applicable law, including messaging and privacy laws.

You are responsible for ensuring the records you keep and the corrections you approve comply with the laws and accounting standards that apply to you.

You retain ownership of your data — purchase orders, bills, receipts, payments and the content you connect or create. You grant us the limited rights needed to operate the Service for you, such as reading those documents in order to match them against each other. We handle personal data as described in our Privacy Policy.

The Service does not write to your ledger on its own. A correction posts only after you approve it, and only once the kill window on that correction has elapsed; you may cancel it within that window. Every correction the Service posts is recorded in an append-only audit trail with the figures it acted on. You are responsible for reviewing what you approve and for the corrections posted under your account.

Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes apply to the next billing period.

The Service, including its software and design, is owned by MatchRail and protected by applicable laws. These Terms do not grant you any rights in our trademarks or brand.

The Service is provided “as is” without warranties of any kind. MatchRail does not provide legal, tax, or accounting advice, and nothing in the Service is a substitute for professional advice.

To the fullest extent permitted by law, MatchRail will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to others. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use after changes take effect means you accept the updated Terms.
